The agreement

These terms, together with any executed service order, interconnect agreement, rate sheet and the acceptable use policy, form the whole contract between JEGA (SIA), registration number 40203632010, registered at Krišjāņa Valdemāra iela 37A - 17, Rīga, LV-1010, Latvia, and the customer named on the order. Where a signed master agreement exists, that document prevails over these terms to the extent of any conflict. Orders are accepted only once credit screening, KYC and sanctions checks are complete.

Service provision

Services are supplied on a carrier-to-carrier or business-to-business basis and are not offered to consumers. Routing, capacity allocation and interconnect topology remain at our engineering discretion, provided the contracted quality metrics are met. Planned maintenance is notified at least five business days in advance except where an emergency change is required to protect network integrity, fraud exposure or regulatory compliance.

Charges and payment

Minutes, messages and recurring platform fees are rated against the applicable rate sheet in force at the time of the call. Invoices are issued monthly or semi-monthly in EUR or USD and are payable within the period stated on the invoice. Prepaid accounts are drawn down in real time and traffic is suspended when the balance is exhausted. Disputes must be raised in writing within thirty days of the invoice date, with call detail evidence, to contact@volta.network.

Acceptable use

Customers must not originate or transit traffic that is fraudulent, artificially inflated, spoofed, Wangiri, robocalling in breach of destination law, or otherwise unlawful. Calling line identity must be accurate and lawfully assigned. We may block prefixes, throttle traffic or suspend accounts immediately where fraud, abuse or a regulatory instruction requires it, and we will report verified incidents to affected operators and competent authorities.

Service levels and credits

Where an order references a service level schedule, availability shortfalls are compensated by service credits calculated against the affected monthly charge. Credits are the sole and exclusive remedy for missed availability targets and must be claimed within thirty days of the affected month.

Limitation of liability

Neither party is liable for indirect, consequential or punitive loss, loss of profit, revenue, goodwill or anticipated savings. Aggregate liability in any twelve-month period is capped at the charges paid in that period, except for death or personal injury, fraud, or liabilities that cannot be limited by law.

Suspension and termination

We may suspend services for non-payment after written notice, for verified fraud or abuse without notice, or where required by a regulator or upstream operator. Either party may terminate for material breach unremedied within thirty days, or immediately on insolvency of the other party.

Confidentiality and data

Rate sheets, traffic statistics, network topology and commercial terms are confidential and may not be disclosed without written consent. Personal data is processed in accordance with the privacy policy and, where we act as processor, the data processing agreement attached to the order.

Numbering and portability

Numbers assigned to a customer remain the property of the underlying range holder and are licensed for the duration of the service. Customers are responsible for lawful use, emergency service registration where applicable, and accurate end-user records required by national regulators.

Changes to these terms

Material amendments are notified to contracted partners at least thirty days before they take effect. Continued use of the services after the effective date constitutes acceptance. The revision date on this page always reflects the current version.

Force majeure and dependencies

Neither party is in breach where performance is prevented by events beyond reasonable control, including subsea cable cuts, national outages, regulatory intervention, industrial action or acts of war. Where an upstream operator withdraws a route or a destination becomes unreachable for regulatory reasons, we will re-route where commercially and technically possible and notify affected partners without undue delay.

Disputes and jurisdiction

The parties will attempt in good faith to resolve any dispute at commercial director level within thirty days before commencing proceedings. These terms are governed by the laws of the Republic of Latvia, and the courts of Rīga have exclusive jurisdiction. Nothing prevents either party from seeking injunctive relief to protect confidential information or network integrity.
